1. Acceptance of Terms

These Terms of Use ("Terms") govern your access to and use of DooxSocial, including the website, platform, applications, APIs, integrations, and related services (collectively, the "Services").

The Services are operated by Galevi s.r.o. ("Company", "we", "us", or "our").

By creating an account, accessing, or using the Services, you agree to be bound by these Terms.

If you do not agree with these Terms, you must not use the Services.

2. Eligibility

You may use the Services only if:

You are at least 18 years old;
You have legal capacity to enter into binding agreements;
You are not prohibited from using the Services under applicable laws.

If you use the Services on behalf of a company or organization, you represent that you have authority to bind that entity to these Terms.

3. Services

DooxSocial provides social media management and marketing tools, including but not limited to:

Social media account management
Content scheduling
Content publishing
Analytics and reporting
Team collaboration
AI-powered content assistance
Social media integrations
API access
Automation features

We may modify, update, suspend, or discontinue any part of the Services at any time.

4. User Accounts

You are responsible for:

Maintaining the confidentiality of login credentials;
Restricting access to your account;
All activities conducted through your account;
Keeping account information accurate and up to date.

You must immediately notify us of any unauthorized access or security breach.

5. Acceptable Use

You agree not to:

Illegal Activities

Violate any applicable law or regulation;
Infringe intellectual property rights;
Commit fraud or deception.

Platform Abuse

Attempt unauthorized access;
Circumvent security measures;
Reverse engineer the platform;
Interfere with system operations;

Harmful Content

You may not use the Services to publish, distribute, or promote:

Malware;
Hate speech prohibited by law;

Spam and Abuse

Users are solely responsible for ensuring compliance with anti-spam laws including GDPR, ePrivacy regulations, CAN-SPAM, CASL, and other applicable regulations.

6. Connected Social Media Accounts

When connecting third-party social media platforms:

You authorize DooxSocial to interact with those accounts on your behalf;
You remain responsible for all content published through connected accounts;
You must comply with the terms and policies of the respective platforms.

DooxSocial is not responsible for actions taken by third-party social networks, including:

API limitations;
Account suspensions;
Account restrictions;
Content removals;
Platform policy changes.

7. User Content

You retain ownership of all content uploaded or created through the Services.

By using the Services, you grant us a limited, non-exclusive, worldwide license to:

Store content;
Process content;
Display content within the platform;
Publish content according to your instructions.

This license exists solely for providing the Services.

8. AI Features

DooxSocial may provide AI-powered features including:

Content generation;
Post recommendations;
Text rewriting;
Translation;
Caption generation;
Content optimization.

AI-generated content is provided for informational purposes only.

Users are solely responsible for:

Reviewing generated content;
Verifying accuracy;
Ensuring legal compliance;
Ensuring brand suitability.

The Company makes no guarantees regarding the accuracy, legality, originality, or effectiveness of AI-generated output.

9. Subscription and Payments

Certain Services require payment.

Billing

Subscriptions may be billed:

Monthly;
Annually;
Under custom enterprise agreements.

Auto-Renewal

Subscriptions automatically renew unless canceled before the renewal date.

Taxes

Prices may exclude applicable taxes, VAT, duties, or government charges.

Customers are responsible for all applicable taxes.

Refunds

Except where required by law, fees are non-refundable.

10. Service Availability

We strive to provide reliable Services but do not guarantee:

Continuous availability;
Uninterrupted operation;
Error-free functionality.

Scheduled maintenance, upgrades, or circumstances beyond our control may affect availability.

11. Intellectual Property

The Services, including software, design, trademarks, logos, interfaces, documentation, and technology, remain the exclusive property of Galevi s.r.o. and its licensors.

No rights are transferred except those expressly granted under these Terms.

12. API Usage

If API access is provided:

API credentials must remain confidential;
Excessive requests may be rate limited;
We may suspend API access to protect platform stability.

We reserve the right to modify API functionality without notice.

13. Confidentiality

Both parties agree to protect confidential information disclosed during the use of the Services.

Confidential information includes:

Business information;
Technical information;
Non-public platform information;
Customer data.

Confidentiality obligations survive termination.

14. Data Protection

Personal data is processed according to our Privacy Policy.

Where customer personal data is processed through the Services:

Customer acts as Data Controller;
Galevi s.r.o. acts as Data Processor.

A separate Data Processing Agreement (DPA) may apply.

15. Suspension and Termination

We may suspend or terminate access immediately if:

These Terms are violated;
Illegal activity is detected;
Security risks arise;
Payment obligations remain unpaid;
Required by law.

Upon termination:

Access may be revoked;
Stored content may be deleted after a reasonable retention period;
Outstanding fees remain payable.

16. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE."

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE COMPANY DISCLAIMS ALL WARRANTIES, INCLUDING:

MERCHANTABILITY;
FITNESS FOR A PARTICULAR PURPOSE;
NON-INFRINGEMENT;
AVAILABILITY;
ACCURACY;
RELIABILITY.

WE DO NOT GUARANTEE BUSINESS RESULTS, SOCIAL MEDIA GROWTH, ENGAGEMENT, REVENUE, OR MARKETING PERFORMANCE.

17. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

THE COMPANY SHALL NOT BE LIABLE FOR:

INDIRECT DAMAGES;
INCIDENTAL DAMAGES;
SPECIAL DAMAGES;
CONSEQUENTIAL DAMAGES;
LOST PROFITS;
LOST REVENUE;
LOST DATA;
BUSINESS INTERRUPTION.

OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT PAID BY THE CUSTOMER DURING THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

18. Indemnification

You agree to defend, indemnify, and hold harmless Galevi s.r.o., its directors, employees, contractors, and affiliates from claims arising out of:

Your use of the Services;
Your content;
Violation of these Terms;
Violation of applicable laws;
Violation of third-party rights.

19. Force Majeure

We shall not be liable for delays or failures resulting from events beyond our reasonable control, including:

Natural disasters;
War;
Cyberattacks;
Government actions;
Internet outages;
Infrastructure failures.

20. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Czech Republic.

Any disputes shall be subject to the exclusive jurisdiction of the competent courts of the Czech Republic.

21. Changes to Terms

We may update these Terms from time to time.

Updated versions become effective upon publication on the website or within the Services.

Continued use of the Services constitutes acceptance of the updated Terms.
